    ARTICLE 1: NAME
    The name of the organization shall be the Nutmeg Quilters Guild Incorporated, herein called the Guild.

    ARTICLE II: PURPOSE
    The purpose of this organization shall be: to promote the knowledge of quilting and quilting skills and techniques; to provide an atmosphere of friendship and growth in which quilters may expand their knowledge and learning in this art; to plan periodic exhibits of quilts; to hold seminars for the purpose of exchanging ideas; to encourage historical research; to promote the publishing of articles and booklets about quilting.

    ARTICLE III: MEMBERSHIP
    Section I. Admission
    Membership shall be open to all individuals in sympathy with the purpose of this organization.
    Section II. Vote
    Each paid-up member in attendance at a meeting shall be entitled to one vote. There shall be no vote by proxy.

    ARTICLE IV. OFFICERS
    Section I. Number
    The officers of the Guild shall be:
    President Vice President
    Newsletter Editor Treasurer
    Secretary Program Chairperson
    Hospitality Chairperson Librarian
    Historian Meeting Raffle Chairperson
    Shop-on-Site Chairperson Public Relations Chairperson
    Quilt Raffle Chairperson Community Service Chairperson

    The positions of Program Chairperson, Hospitality Chairperson, Librarian, Historian, Quilt Raffle Chairperson, Community Service Chairperson and Meeting Raffle Chairperson may be co-chaired. Each Board member has a vote.
    Section II. Terms:

    The term of office shall be one year. No person shall serve more than two consecutive years in the same office. Officers shall be elected and installed at the September meeting after the completion of old business except as otherwise provided for in these bylaws. Officers shall be elected by a majority of votes cast provided a quorum is present.
    Section III. Duties:
    The President shall preside at all meetings and perform any duties assigned by action of the Guild. The President shall appoint all chairpeople of committees as needed, with the approval of the Board.

    The Vice President shall be Membership Chairperson.

    The Vice President shall succeed the President and shall have all the powers and duties of the President in the absence of the President.

    The Newsletter Editor shall be responsible for processing the newsletter and other documents when needed for distribution to paid-up Guild members. The Newsletter Editor shall have all the powers and duties of the President in the absence of the President and the Vice President.

    The Treasurer shall have charge of the financial affairs of the Guild; i.e. preparation of the budget, the general supervision of the financial books and records, and shall pay all bills as authorized according to the Bylaws.

    The Secretary shall keep the minutes of all meetings including those of the Board, and shall handle all correspondence for the Guild. She should see that all members have up-to-date Bylaws.

    The Program Chairperson shall, with the approval of the Board, plan and develop programs that carry out the purpose of the Guild. The Program Chairperson shall then be responsible for implementing said programs.

    The Hospitality Chairperson shall recruit members to provide refreshments for each Guild meeting, prepare coffee, oversee the serving of refreshments, and maintain the supplies and equipment.

    The Librarian shall be responsible for overseeing the circulation, purchasing new books and keeping an inventory of same

    The Historian shall maintain and add to both the written and pictorial history of the Guild. She is also in charge of the Meeting Quilt Block program.

    The Meeting Raffle Chairperson shall be responsible for conducting raffles at General Meetings.

    The Shop-on-Site Chairperson will secure the Vendor for the General Meeting, help set up, take down and collect fees.

    The Public Relations Chairperson shall promote the Guild to the public in ways sees fit.

    The Quilt Raffle Chairperson is responsible for coordinating the Guild's Raffle Quilt project including designing the quilt, obtaining neccessary permit, preparation and scale of tickets, displaying the quilt at various venues and awarding the prize.

    The Community Service Chairperson is in charge of service-related projects in the Guild's communities.

    General Duties:

    All officers of the Guild shall to the best of their ability support the Guild by regularly attending both General and Board meetings. Officers unable to attend General or Board meetings must inform the President prior to the meeting. Each officer shall be familiar with the bylaws that may restrict or influence her job description.

    Section IV. The Board
    The Board shall consist of the officers of the Guild. The Board shall meet prior to each General meeting or as deemed necessary by the President or other officers of the Guild. A majority of the members of the Board shall constitute a quorum for the transaction of business. Vacancies arising among officers shall be filled by appointment made by the remaining Board members for the unexpired term.

    Section V. Nominating Committee
    The nominating committee for officers of the Guild shall be made up of three members appointed by the Board. The Nominating Committee shall present the names of candidates for all officers at the July meeting. Nominations for any office may be made from the floor at the July meeting. The names of all nominees shall be posted n the newsletter preceeding the September meeting.

    ARTICLE V: MEETINGS

    Section I. General Meetings
    The Board shall provide for at least six meetings of the membership per year.

    Section II. Quorum
    The quorum for a General meeting shall be thirty percent (30%) of the paid-up members. In case of inclement weather, the meeting may be cancelled and not required to be made up.

    Section III. Special Meetings
    Special meetings of the membership shall be called by the President with the approval of the Board.

    ARTICLE VI: DUES

    Section I. Dues
    Dues shall be in such amount as may from time to time be prescribed by a quorum of the membership. The charge for guests at a General meeting will be determined by the Board.

    Section II. Fiscal Year
    The Fiscal year of this organization shall begin on October 1st of each year and end on September 30th of the following year.

    ARTICLE VII: FUNDS

    Section I. Accounts
    The Treasurer shall maintain adequate books of accounts.

    Section II. Disbursements
    Funds shall be disbursed by the Treasurer, President or Program Chairperson only. No member of the Guild shall expend any money or assume any obligation to any amount greater than shall have been authorized by the Board.

    Section III. Audit
    The Treasurer will present the financial records to the Board for inspection prior to her leaving office.

    ARTICLE VIII: DISSOLUTION
    In the event of the dissolution of the organization known as the Nutmeg Quilters Guild, all assets will be turned over to another non-profit, charitable or educational organization to be selected by a majority of the Board at the time of such dissolution.

    ARTICLE IX: AMENDMENT

    Section I. Revisions
    These Bylaws may be amended by a majority vote of the general membership of any meeting at which a quorum is present provided that the amendment(s) shall have been previously published and submitted to the membership.
